These Terms of Use (the "Terms") form a binding legal agreement between you ("you," "your," "User") and Soul Circle LLC, a California limited liability company ("Soul Circle," "we," "us," or "our"). The Terms govern your access to and use of the Soul Circle AI mobile application, the website at soulcircle.live, and all related services (collectively, the "Services").
By creating an account, installing the App, or otherwise using the Services, you represent that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Services.
Soul Circle AI is a peer-support platform that uses AI-driven questionnaires to match users into small support groups (2–7 members) for conversation and community. Features include group chat, direct messaging, daily mood check-ins, a resource library, and an optional premium subscription.
Critical: Soul Circle AI is not a substitute for professional care. It is not a mental-health service, telehealth provider, medical device, or therapy platform. We do not provide diagnosis, treatment, prescription, counseling, therapy, legal advice, financial advice, religious counseling, or emergency services.

The Services use artificial intelligence, including but not limited to large language models operated by OpenAI, for matching, questionnaire flow, and content moderation. AI systems:
You use AI features at your own risk. You must not treat AI output as authoritative, professional advice, or a substitute for human judgment.
We do not conduct background checks, criminal-record screening, identity verification, or credit checks on users. You are solely responsible for assessing the trustworthiness of anyone you interact with on the Services. Other users may misrepresent themselves, their intentions, their age, gender, location, or anything else.
You assume all risk of interactions with other users, including without limitation:
We strongly discourage meeting other users in person. If you choose to meet any user outside the Services, you do so at your own risk. Soul Circle LLC has no liability whatsoever for any harm — physical, psychological, sexual, or financial — arising from offline interactions with users you met through the Services, including assault, robbery, kidnapping, sexual assault, murder, or death.
NEVER send money, cryptocurrency, gift cards, banking information, investment account access, or any form of financial value to anyone you meet on the Services. We will never ask you for payment outside Apple/Google's in-app purchase systems. Anyone who does so is attempting to defraud you. Soul Circle LLC is not liable for romance scams, investment fraud, or any financial loss.
You agree not to do any of the following, and not to authorize, enable, or encourage anyone else to do so:
You agree not to record, screenshot, screen-capture, or otherwise reproduce private conversations, direct messages, voice notes, or group messages and share them outside the Services without the express consent of every participant. Violations may result in account termination and civil liability. You acknowledge that we cannot technically prevent screenshots and that you should treat any content you share as potentially subject to screen capture.
You retain ownership of the content you submit ("User Content"). By submitting User Content you grant Soul Circle LLC a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, modify (for formatting), distribute, and display your User Content solely to operate, provide, improve, promote, and secure the Services. This license ends when you delete your User Content, except for (a) copies retained in backups until overwritten, (b) content already shared with other users, and (c) aggregated or de-identified derivatives.
You represent and warrant that (i) you own your User Content or have all necessary rights to submit it; (ii) it does not violate the rights of any third party; and (iii) it complies with these Terms and applicable law.
The Services, including the software, design, user interface, graphics, logos, name "Soul Circle," "Soul Circle AI," and all related trademarks and copyrights, are the exclusive property of Soul Circle LLC and its licensors. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use, subject to these Terms. All rights not expressly granted are reserved.
If you provide feedback, ideas, or suggestions about the Services ("Feedback"), you grant Soul Circle LLC a perpetual, irrevocable, worldwide, royalty-free, sublicensable, transferable license to use and commercialize that Feedback without obligation to you.
The Services include free features and an optional premium subscription ("Premium") for $4.99 USD per month (or local equivalent, which may vary). Prices, features, and tiers may change with notice.
Premium subscriptions are processed through Apple In-App Purchase (iOS) or Google Play Billing (Android). Your payment will be charged to the Apple ID or Google account at confirmation of purchase. Web subscriptions (if available) may be processed by RevenueCat or Stripe.
Subscriptions automatically renew at the end of each billing cycle unless cancelled at least 24 hours before the end of the current period. To cancel, go to your device's Settings → Apple ID → Subscriptions, or Google Play → Subscriptions. Deleting the App does not cancel your subscription. Cancellation takes effect at the end of the current paid period; no partial refunds for unused time.
All sales are final except as required by law. Refund requests must be directed to Apple (reportaproblem.apple.com) or Google Play, who administer our refunds. California and EU users may have additional cooling-off rights. EU residents have a 14-day right of withdrawal from the date of purchase, which is waived if you begin using premium features during that period (to the extent permitted).
We may change subscription pricing with at least 30 days' notice. Price increases for existing subscribers require your affirmative consent where mandated by law; otherwise continued use constitutes acceptance.
Free trials and promotional pricing may be offered from time to time. If offered a free trial, you must cancel before it ends to avoid being charged. Promotional codes are one-per-user, non-transferable, and have no cash value.
You are responsible for all activity under your account. Keep your password secret, enable 2FA, and notify us immediately of any unauthorized access. We are not liable for losses arising from your failure to secure your account.
We may, at our sole discretion and without liability, remove content, suspend, or terminate accounts that (a) violate these Terms, (b) pose risk to other users or to us, (c) create legal or regulatory exposure, or (d) are inactive for extended periods. We may also decline service to anyone for any lawful reason.
If your account is terminated, you may appeal by emailing soulcircleai@gmail.com with subject "Account Appeal." Decisions are at our discretion.
Creating a new account to circumvent a suspension or termination is prohibited and will result in termination of the new account.
We strive for high uptime but make no guarantee of uninterrupted or error-free service. We may modify, suspend, or discontinue the Services (or any feature) at any time, with or without notice. In the event of permanent discontinuation, we will use commercially reasonable efforts to provide at least 30 days' notice and allow you to export your data, except where discontinuation is mandated by law or safety.
The Services integrate with third-party services (Apple, Google, OpenAI, Vonage, SendGrid, RevenueCat, Stripe, Expo). Their terms of service and privacy policies govern your use of them. Apple's standard EULA applies to your use of the App on iOS devices and is hereby incorporated by reference as if set forth herein.
If you believe content on the Services infringes your copyright, send a notice under 17 U.S.C. § 512(c)(3) to soulcircleai@gmail.com (subject: "DMCA Notice") including: (a) identification of the copyrighted work; (b) identification and location of the allegedly infringing material; (c) your contact information; (d) a statement of good-faith belief; (e) a statement under penalty of perjury that you are authorized to act; (f) your physical or electronic signature. Counter-notices may also be submitted. Repeat infringers will have their accounts terminated.
The services are provided "as is," "with all faults," and "as available," without warranty of any kind, express, implied, statutory, or otherwise. To the maximum extent permitted by law, Soul Circle LLC and its affiliates, officers, directors, employees, agents, and licensors disclaim all warranties, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, quiet enjoyment, and any warranties arising from course of dealing or usage of trade.
We do not warrant that the Services will meet your requirements, be uninterrupted, timely, secure, or error-free; that defects will be corrected; or that the Services are free of viruses or harmful components. You use the Services at your own risk. Some jurisdictions do not allow certain warranty disclaimers; to the extent we cannot disclaim a warranty, our liability is limited to the maximum extent permitted.
To the maximum extent permitted by law, in no event will Soul Circle LLC, its affiliates, officers, directors, employees, agents, licensors, or suppliers be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages — including without limitation lost profits, lost revenue, lost data, loss of goodwill, emotional distress, mental anguish, personal injury, wrongful death, or cost of substitute services — arising out of or in connection with these Terms or your use of the Services, whether based on contract, tort (including negligence), strict liability, or otherwise, and even if we have been advised of the possibility of such damages.
Our aggregate liability for any claim arising out of or related to these Terms or the Services shall not exceed the greater of (a) $100 USD, or (b) the amount you paid Soul Circle LLC in the 12 months preceding the claim.
Certain jurisdictions do not allow limitation of liability for certain damages (e.g., gross negligence, death, personal injury). Where applicable, our liability is limited to the fullest extent permitted.
Soul Circle LLC is not liable for any injury, death, or harm arising from suicide, self-harm, eating disorders, substance abuse, or mental-health crises experienced by users, whether or not the App was in use at the time. The App is not a suicide-prevention tool and should not be relied upon as one. If you are in crisis, contact emergency services immediately (911 or 988 in the US).
You agree to defend, indemnify, and hold harmless Soul Circle LLC and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or relating to (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; (d) your violation of any law or third-party right; (e) any dispute you have with another user or third party; (f) any harm to you arising from an off-platform interaction initiated through the Services.
Before filing a claim, you agree to try to resolve the dispute informally by emailing us at soulcircleai@gmail.com with subject "Dispute Notice" and a description of the claim. We will try to resolve it within 60 days. If unresolved, either party may proceed to arbitration.
You and Soul Circle agree that any dispute arising out of or relating to these Terms or the Services shall be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules then in effect, seated in Los Angeles County, California. Judgment on the award may be entered in any court of competent jurisdiction.
You and Soul Circle each waive any right to participate in a class, collective, consolidated, representative, or mass arbitration or action. All claims must be brought in your or our individual capacity. If this waiver is found unenforceable, then the entire arbitration section is null and void but the rest of these Terms remain.
If 25 or more similar claims are asserted by users represented by the same counsel or coordinated counsel within a 60-day period, the claims shall be resolved in batches of 50 using JAMS mass-arbitration protocols, with fees and costs allocated as determined by JAMS.
Either party may bring an individual action in small-claims court in the county of your residence for any dispute within that court's jurisdiction.
Either party may seek temporary or preliminary injunctive relief in court to protect intellectual property, confidentiality, or against threatened harm. California residents retain the right to seek public injunctive relief in court as provided under McGill v. Citibank.
You may opt out of the arbitration agreement and class-action waiver within 30 days of first accepting these Terms by emailing soulcircleai@gmail.com with subject "Arbitration Opt-Out" and providing your name, username, and a clear statement that you opt out. Opt-out does not affect other provisions.
Any claim must be filed within one (1) year of the event giving rise to it, or it is permanently barred, except where applicable law prohibits such shortening.
These Terms are governed by the laws of the State of California, USA, excluding its conflict-of-laws rules. Except as provided above for arbitration, any action shall be brought exclusively in the state or federal courts located in Los Angeles County, California, and the parties consent to personal jurisdiction there.
Neither party will be liable for any failure or delay in performance caused by events beyond reasonable control, including acts of God, war, terrorism, pandemic, civil unrest, strikes, failure of internet or utility services, or governmental action.
You may not use the Services in violation of US export-control laws or while located in a country or region subject to US embargoes (including Cuba, Iran, North Korea, Syria, and the Russian-occupied regions of Ukraine), or if you are on a US denied-party list.
Nothing in the Services creates a doctor–patient, therapist–client, attorney–client, fiduciary, or financial-advisor relationship between you and Soul Circle LLC. Use of the Services does not entitle you to any form of privileged or confidential communication protected by such relationships.
Users may claim to be medical professionals, therapists, lawyers, financial advisors, or other experts. We do not verify credentials. Never rely on advice from other users; always consult a licensed professional for matters requiring professional expertise.
These Terms are between you and Soul Circle LLC, not Apple. Apple is not responsible for the App or its content. In the event of conflict, the Apple Media Services Terms and Conditions also apply. Apple has no obligation to provide maintenance or support. If the App fails to conform to any warranty, you may notify Apple for a refund of the purchase price (if any); Apple has no other warranty obligation. Apple is not responsible for product liability claims, third-party claims, or intellectual-property claims relating to the App. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them.
These Terms are between you and Soul Circle LLC, not Google. Google Play's Terms of Service also apply to your download and use of the App.
We strive to design the Services to be accessible to users with disabilities. If you encounter accessibility issues, please contact us so we can address them.
We may update these Terms from time to time. The "Last Updated" date reflects the most recent revision. We will notify you of material changes by email or in-app notice at least 14 days before they take effect. Continued use after changes take effect constitutes acceptance.
If any provision is held unenforceable, the remaining provisions remain in full force. No waiver of any term is effective unless in writing. No delay or failure by us to enforce any right is a waiver of that right.
You may not assign or transfer these Terms without our written consent. We may assign or transfer these Terms to any affiliate or in connection with a merger, acquisition, financing, reorganization, or sale of assets.
Except as explicitly stated (e.g., Apple under Section 30), these Terms do not create rights in favor of any third party.
By using the Services, you consent to receive communications from us electronically (email, in-app, push notifications, SMS where authorized) and agree that electronic signatures, agreements, and records satisfy any legal requirement for a writing or signature.
These Terms, together with the Privacy Policy, in-app Disclosures, and any additional terms presented in the Services, constitute the entire agreement between you and Soul Circle LLC and supersede all prior or contemporaneous agreements on the subject matter.
